Investor Portal — Terms of Use

These Terms of Use govern your access to the Fundclair investor portal (the "Portal"). The Portal is operated by Fundclair Technologies ("Fundclair") and is made available to you by, and on the instructions of, the alternative investment fund (or its manager) in which you are an investor (your "Fund").

The Portal is a technology service. It displays information, statements, and documents prepared and provided by your Fund. Fundclair does not create, verify, audit, or approve any figure, statement, valuation, or document shown to you — your Fund is solely responsible for that content and for its communications with you. Fundclair is not a fund manager, administrator, trustee, custodian, broker, or investment adviser, and is not a SEBI-regulated intermediary.

Nothing on the Portal is investment, legal, tax, or financial advice. Figures shown (including NAV, XIRR, and other performance metrics) are presented as provided by or derived from your Fund's records; for any decision, rely on your Fund's formal communications and your own advisers. If anything on the Portal appears inconsistent with a formal document issued by your Fund, contact your Fund.

Your login credentials (User ID, password, and second factor) are personal to you. Keep them confidential; do not share them. You are responsible for activity under your account. If you suspect unauthorised access, use the password-reset feature or contact your Fund immediately. Your Fund's administrators can reset your credentials and manage your access; Fundclair acts on your Fund's instructions.

You agree to use the Portal only for viewing and managing your own investment relationship with your Fund, and not to: attempt to access another investor's or any fund's data; probe, disrupt, or reverse engineer the Portal; upload unlawful or malicious content; or use automated scraping. Access may be suspended for breach or on your Fund's instructions (for example, if your investor relationship is suspended or ends).

For your personal data on the Portal, your Fund is the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and Fundclair processes it as the Fund's Data Processor. How data is handled is described in the Fundclair Privacy Policy and in any notice your Fund has given you. You can exercise your rights (access, correction, erasure) through the Portal's profile features or by contacting your Fund; erasure is subject to the record-keeping laws that apply to your Fund. Documents made available on the Portal (statements of account, notices, reports) are delivered there by your Fund. Where your Fund uses electronic delivery, a document is treated as delivered to you when it is made available in your Portal account and you are notified at your registered email address. Keep your contact details up to date via your profile.

Fundclair aims to keep the Portal available at all times but does not guarantee uninterrupted access. Maintenance, technical issues, or events beyond Fundclair's control may cause downtime. The Portal may change as features are improved.

To the maximum extent permitted by law: Fundclair is not liable to you for the content of your Fund's data or documents, for decisions you make in reliance on the Portal, or for indirect or consequential loss. Nothing excludes liability that cannot be excluded by law. Your rights against your Fund are governed by your fund documents, not these Terms.

Fundclair may update these Terms; material changes will be notified on the Portal or by email, and continued use after notice is acceptance. These Terms are governed by the laws of India; courts at Delhi have exclusive jurisdiction, subject to any arbitration agreement between Fundclair and your Fund that applies to a dispute.
